TERMS AND CONDITIONS

Thank you for your interest in the Developer Circles Vietnam Innovation Challenge (the “Innovation Challenge”). The Innovation Challenge consists of two components: a training program (the “Training Program”) and a competition (the “Competition”). The Innovation Challenge website, which will host further information regarding the Innovation Challenge, the Training Program, and the Competition, can be found at https://devc-challenge.coderschool.vn/ (the “Challenge Website”). If you are accepted into the Innovation Challenge, you will have the opportunity to participate in both the Training Program and the Competition. These terms and conditions (the “Terms”) apply only to the Training Program, while the Competition portion of the Innovation Challenge is subject to its own terms and conditions, which can be found on the Challenge Website at devc-challenge.coderschool.vn.

This Innovation Challenge is sponsored by CoderSchool Vietnam (12 Ton Dan, District 4 , Ho Chi Minh City, Vietnam)(“CoderSchool” or “Sponsor”), with support from Facebook Singapore Pte Ltd. and other partners (collectively with Sponsor, “Program Entities”). Only those who are eligible according to the eligibility requirements listed below may submit an application to participate in the Innovation Challenge and the Training Program (the “Application”) as described on the Challenge Website between the dates specified therein (the “Application Period”).

BY APPLYING FOR THE INNOVATION CHALLENGE, PARTICIPATING OR ATTEMPTING TO PARTICIPATE IN THE INNOVATION CHALLENGE AND/OR USING THE CHALLENGE WEBSITE, THE APPLICANT IDENTIFIED IN THE APPLICATION AND THEIR PARENT OR LEGAL GUARDIAN IF THEY ARE A MINOR (REFERRED TO HEREIN AS “APPLICANT”) ARE AGREEING TO THESE TERMS AND CONDITIONS. THESE TERMS AND CONDITIONS ARE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND CODERSCHOOL WITH RESPECT TO THE INNOVATION CHALLENGE.

NO PURCHASE NECESSARY TO APPLY OR RECEIVE BENEFITS IN THE INNOVATION CHALLENGE OR THE TRAINING PROGRAM. A PURCHASE WILL NOT INCREASE YOUR CHANCES OR BEING ACCEPTED OR RECEIVING BENEFITS. VOID WHERE PROHIBITED BY LAW.

PARTICIPANTS MAY BE REQUIRED TO READ, SIGN, AND RETURN ADDITIONAL INNOVATION CHALLENGE DOCUMENTS WITHIN THE TIMEFRAME SPECIFIED IN THE NOTIFICATION OR BENEFITS MAY BE FORFEITED (IN PROGRAM ENTITIES’ SOLE DISCRETION), AS MORE FULLY DETAILED BELOW.

ACCESS TO INTERNET AND CERTAIN HARDWARE AND SOFTWARE MAY BE REQUIRED.

What is this Training Program? The Training Program is a multi-course program designed for university students and recent university graduates who are looking for tech-related training. The multi-course training program consists of three different tracks: Software engineering (react-native) track, product management track, and data science track. Each applicant will select one (1) track that they are interested in and, if accepted, will study the courses in that track. The course consists of in-class lecture, lab, and homework assignments. The training Applicants for the Training Program will be chosen by a selection committee, as further detailed below. After applicants are chosen, they will join the Training Program component of the Innovation Challenge, and will be hereinafter referred to as “Participants.” Participants will have access to free, sponsored classes and will participate in the Competition, which will include prizes for winners. All training Participants will participate in the competition by submitting their final projects to the judges.

What is the Competition? Over the duration of the Training Program, teams comprised of both Participants and individuals who are not participating in the Training Program will be formed in order to solve challenges provided by Sponsor’s partners. As noted above, a separate set of terms and conditions, available here [https://devc-challenge.coderschool.vn/tc-competition], apply to participation in the Competition, which is mandatory for training Participants.

Training Program benefits. The Training Program consists of approximately three (3) months of training (in one of the three tracks: software track, product track, or data track) for Participants who are accepted into the Innovation Challenge (the “Program Benefits”). Program Benefits will only be provided to verified and accepted Participants as more fully described on the Challenge Website. Program Benefit details will be decided in Program Entities’ sole discretion and may be subject to change. Each Participant who is verified and accepted by Program Entities to participate in the Program and receive the Program Benefits is responsible for securing access to the Program Benefits once provided by Program Entities. Program Entities are not responsible for any acts, omissions, representations, inability or unwillingness of any Applicant or selected Participant to accept or use the Program Benefits (or portion thereof) for any reason. Program Benefit details not specifically stated in these Terms will be determined in Program Entities’ sole discretion. To the fullest extent permissible under applicable law, all taxes, as well as any expenses arising from acceptance or use of the Program Benefits and not specified in these Terms as being provided as part of the benefits, are the sole responsibility of the Participant. If a Participant does not accept or use all of the benefits for any reason, the unaccepted or unused part of the benefits will be forfeited and Program Entities will have no further obligation with respect to that benefits or portion of the benefits. No transfers, benefits substitutions, or cash redemptions will be made, except at Program Entities’ sole discretion. Program Entities reserve the right to substitute any stated benefits or any component thereof with another benefit or component of equal or greater value for any reason. No more than the stated benefits will be given. Participants waive the right to assert as a cost of winning the benefits, any and all costs of verification and redemption and any liability and publicity that might arise from claiming or seeking to claim said benefits.

Dates, times, and location of the Training Program. The full duration of the Training Program will be approximately six (6) months (the “Participation Period”). The Application Period and the Participation Period will be referred to collectively as the “Program Period.” During this time, Participants will be taking classes provided by CoderSchool in one of three cities around Vietnam (Ho Chi Minh City, Hanoi and Da Nang). The times of the classes are generally in the evening, with classes two (2) to three (3) times per week. Mandatory attendance of at least 80% of the classes is required by Participants, and failure to attend the classes may result in disqualification from the Training Program and/or Competition.

The Training Program is expected to be offered during the following timeframes, though these are subject to change:

Ho Chi Minh City: July 2019 - December 2019
Hanoi: June 2019 - November 2020
Da Nang: August 2020 - January 2021

All classes will be held at either CoderSchool facilities or at the facilities of other Program Entities, with a final “Demo Day” event to be held at the conclusion of each Training Program. The Demo Day is a part of the final Competition. The venue, date, and time of the Demo Day event for each city will be announced and posted to the Challenge Website.

Training Program location. When you apply for the Training Program, you will be applying for the program specific to one of the three cities where the Training Program will be conducted (Ho Chi Minh City, Ha Noi, or Da Nang). Participants are only allowed to attend the Training Program classes in the city that they are applied for. Participants are solely responsible for all costs related to travel, lodging and food/beverage.

Da Nang: Participants who reside in Hue or nearby cities are responsible for arranging transportation to the classes. CoderSchool may work with third-party transportation providers to provide transportation options, in its sole discretion. The Program Entities assume no liability on behalf of third-parties in this case.

Hardware and Software. CoderSchool will advise on the hardware and software required for the Training Program, but at a minimum, Participants are required to supply their own laptop, which they will be used both during the Training Program and for the Competition portion of the Innovation Challenge. CoderSchool may require students to download software to their personal laptops for use during the Training Program. No paid software will be necessary.

For the final events and Demo Day, Program Entities will provide the necessary equipment needed for presentation.

Do the classes or events cost money? No - course fees and tuition for the Training Program will be covered by the Program Entities. Students do not pay for the course, teachers, teaching assistants, mentorship, participation in the Competition, rental costs, or events hosted by the Program Entities.

Travel and food / beverages are not covered and students are responsible for covering these costs. While some of the events hosted by the Training Program may provide food and beverage, there is no guarantee that these will be provided. Some of the venues that the events of the Training Program may charge for food and beverage; these costs are not covered. Transportation costs to the classes are not covered, and there may also be costs associated with vehicle parking.

Who is eligible to apply to the Training Program? Each Participant in the program must meet the following criteria:
Be a minimum of 18 years old and legally able to enter into a contract.
Be a lawful resident of Vietnam (Participants who are not Vietnamese citizens must show documented proof of residence in Vietnam).
Understand you will be required to participate in the Competition portion of the Innovation Challenge, which will require forming a team of three (3) to five (5) people, including a minimum of two (2) Training Program Participants. Additional team members who are not Training Program Participants will be subject to separate eligibility screening criteria and agreement to Competition terms, as detailed in the separate Competition terms and conditions.
Be either a university student or, for Applicants who are not university students, have fewer than two (2) years of working experience post-university.

An individual person may not submit more than one (1) Application for the Training Program. Employees, officers, directors, members, managers, agents, and representatives of CoderSchool, Facebook and any other entities participating in the design, promotion, marketing, administration, or fulfilment of the Innovation Challenge and/or any of its components, including the Training Program or the Competition, or any of their respective corporate partners, parent companies, divisions, subsidiaries, affiliates, successors in interest, and advertising, promotion, and public relations agencies, judges and their employers, employees, managers, agents and representatives (collectively, the “Released Parties”) and any family member or member of the same household (whether or not related) of any such persons are not eligible to apply or receive benefits in this Program. For purposes of this Program, the term “family members” is defined as any spouse, partner, parent, legal guardian, child, sibling, grandparent, grandchild, or in-law.
Application process. The Application, all information within it, and any other content submitted to Program Entities in connection with this Program are collectively referred to as “Applicant Content.” All Applicant Content must comply with any and all requirements on the Program Website, and otherwise comply with these Terms.

Sponsor’s clock will be the official timekeeper for this Program. The Application must be submitted and received by Sponsor during the Application Period per the instructions on the Challenge Website and all participation must be in strict accordance with the instructions and restrictions on the Program Website and in these Terms. For purposes of this Training Program, only Applications that are actually received and recorded through the Challenge Website or sent to CoderSchool on the related servers during the Application Period will be considered. Other proof of submitting or attempting to submit an Application (such as, without limitation, a printed, saved or copied automated receipt confirming Application receipt, a “Thanks for submitting” screen or message) does not constitute proof of actual receipt of the Application for purposes of this Training Program. Those who do not abide by these Terms and the instructions of Program Entities and provide all required Applicant Content may, in Program Entities’ sole discretion, be disqualified. Applications or participation may not be acknowledged and will not be returned. Applications (or participation that does not qualify as an “Application”) that are incomplete, lost, late, misdirected, mutilated, fraudulent, illegitimate, incomprehensible, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. Applications or participation made on behalf of an Applicant by a third party not affiliated or associated with that Applicant (as determined by Program Entities in their sole discretion) or originating through any commercial promotion subscription, notification, or entering services will be declared invalid and disqualified for this Program. No Released Party will have any responsibility or liability for any dispute regarding any Applicant, including the identity of any Applicant, or the distribution of any benefit received among members of an Applicant, if applicable. In the event that any dispute regarding an Application or Applicant (including, without limitation, regarding the identity of an Applicant, its members, or any Applicant’s or its member’s rights in the Applicant Content) cannot be resolved to Program Entities’ satisfaction, the Application will be deemed ineligible and the Applicant disqualified. As a condition of applying to the Training Program, without limiting any other provision in these Terms, each Applicant gives consent for Program Entities and its agents to obtain and deliver their name, address, and other information (without any limitation) and Application to third parties for the purpose of administering this Program and complying with applicable laws, regulations, and rules. APPLICATIONS MAY NOT BE ACKNOWLEDGED, WILL NOT BE RETURNED AND, IN FACT, MAY BE DESTROYED. KEEP A COPY OR THE ORIGINAL OF EACH ELEMENT OF THE APPLICATION. ANY APPLICATION THAT DOES NOT CONFORM TO THE REQUIREMENTS IN THESE TERMS MAY, IN PROGRAM ENTITIES’ SOLE DISCRETION, BE DEEMED INELIGIBLE.

Application to this Program constitutes Applicant’s full and unconditional agreement to and acceptance of these Terms and the decisions of Program Entities, which are final and binding in all matters.

Selection criteria and process. In order to form a diverse, cohesive program, Program Entities will have a selection committee to review applications. We will be collecting information that will be used in our selection process. Please check Sponsor’s PRIVACY POLICY (https://devc-challenge.coderschool.vn/privacy) to see what information is being collected, and how your information will be used. We are looking for Participants who have, at a minimum, the following qualifications:
Participants who have software engineering, product engineering backgrounds or prospective futures in the tech industry
Participants who can participate in the Competition as part of a team
Participants who can attend the Training Program for the full duration of the event
Participants who demonstrate excellent ability in software engineering or potential to demonstrate ability
The selection committee will make its decision as to whether Applicants will be accepted as Participants in the Training Program portion of the Innovation Challenge through two rounds of review. The first round will involve Applicants providing the required application information. The second round will be a group interview with CoderSchool and/or other Program Entities. The expected number of people to qualify for the program is 300 participants in Ho Chi Minh City, 300 participants in Hanoi, and 200 participants in Da Nang.

Applicants will be scored by the following criteria:

How to register. Applicants may visit the Challenge Website to apply. CoderSchool will also host events across different universities and venues where Applicants can learn about the program and apply at the event. CoderSchool will bring laptops for students to fill in their application. Additionally, potential Applicants may provide their email address so that CoderSchool can email the Challenge Website to the Applicants.

Collection and use of your information. As described in more detail in the Privacy Policy, CoderSchool will collect information from Applicants in order to select the Participants for the Training Program and to communicate with its partners and other Program Entities. Please refer to Sponsor’s Privacy Policy (https://devc-challenge.coderschool.vn/privacy) for further details regarding how CoderSchool will collect and use your information.

Participation notification. Program Entities reserve the right to contact Applicants for verification purposes and administration of the Innovation Challenge and/or Training Program. Participants will be chosen as specifically described, and not using any random drawing or method incorporating chance. Program Entities or their designee will attempt to notify by email, phone or other means (as determined by Program Entities in their sole discretion) within approximately one (1) week from the end of the Application Period. Program Entities will determine Training Program participation eligibility in their sole and absolute discretion. You agree that such decisions are final and are not subject to review or reconsideration.

Each potential Participant may be required to complete, execute, have notarized (if applicable) and return an Affidavit/Declaration of Eligibility and Liability/Publicity Release (unless prohibited by law), tax documents, and related Innovation Challenge-participation documents (collectively, “Program Documents”) within the time frame specified and in the form provided by Program Entities, without revision, or participation in the Innovation Challenge and/or Training Program may be forfeited. If any individual or entity refuses to comply with the foregoing requirements and other requirements of Program Entities, the related Application may be disqualified at any time in Program Entities’ sole discretion with no liability or responsibility to the respective Applicant. If any notification or other Innovation Challenge-related communication is returned as undeliverable, or if a selected Participant cannot be reached or does not respond as instructed after Program Entities have attempted to notify that potential Participant, that selected Participant may be disqualified and an alternate Participant may be selected (time permitting and in Program Entities’ sole discretion). The Program Documents are subject to verification by Program Entities.

License. By taking any step to apply to participate in any portion of the Innovation Challenge, except where prohibited by law, each Applicant (and their parent or legal guardian if they are a minor) grants to the Released Parties (and their agents, successors, and assigns) the irrevocable, transferable, sublicensable, absolute right and permission to use, edit, modify, copy, reproduce, and distribute Applicant Content (including, without limitation, their name, likeness, and persona) in perpetuity and in any medium (including online and in digital media) in any language, throughout the world, for the purposes of evaluating Applications and administering and marketing the Innovation Challenge and/or Training Program. This includes granting the Released Parties the irrevocable, sublicensable, free-of-charge, absolute right and permission to use, publish, post or display his or her name, photograph, likeness, voice, biographical information, any quotes attributable to him or her, and any other indicia of persona (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Released Parties’ sole discretion) for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind to him or her, anywhere worldwide, in any medium now known or hereafter discovered or devised (including, without limitation, on the Internet) without any limitation of time and without notice, review or approval, and each such person releases all Released Parties from any and all liability related to such authorized uses. Nothing contained in these Terms obligates Program Entities to make use of any of the rights granted herein and each natural person granting publicity rights under this provision waives any right to inspect or approve any such use.

Each Applicant hereby acknowledges and agrees that the relationship between the Applicant and each of the Released Parties is that of an independent contractor and is not a confidential, fiduciary, or other special relationship, and that the Applicant’s decision to submit his/her Application for purposes of the Innovation Challenge and/or Training Program does not place any of the Released Parties in a position that is any different from the position held by members of the general public with regard to elements of the other than as set forth in these Terms. Each Applicant understands and acknowledges that the Released Parties have wide access to ideas, applications, text, images, code, applications, software, and other creative materials. Each Applicant also acknowledges that many ideas for applications and online services may be competitive with, similar to, or identical to an Applicant’s ideas. Each Applicant acknowledges and agrees that such Applicant will not be entitled to any compensation as a result of any Released Party’s use of any such similar or identical material that has or may come to such Released Party from other sources. Each Applicant acknowledges that, with respect to any claim by Applicant relating to or arising out of a Released Party’s actual or alleged exploitation or use of any Applicant’s ideas or other material submitted in connection with the Program, the damage, if any, thereby caused to the applicable Applicant will not be irreparable or otherwise sufficient to entitle such Applicant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition, or other exploitation of any Released Party platform, program, bot, application, service or other property, and Applicant’s rights and remedies in any such event are strictly limited to the right to recover damages, if any, in an action at law.

Confidentiality. In connection with your participation in the Training Program, you may acquire information or materials from or about the Program Entities, such as developer resources and beta products, which are of a confidential or proprietary nature. You agree to use such confidential information only in connection with your participation in the Training Program and agree to hold in confidence and to not disclose confidential information to any person or entity without the prior written consent of the relevant Program Entity. You agree to keep confidential and secure any and all login and other information used to access the Program benefits. You understand and agree that a violation of this confidentiality obligation may result in immediate termination from the Program, among other remedies that may be sought by and available to the Program Entities. All of the foregoing confidentiality obligations apply to and are binding upon all Training Program Participants.

LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES. NOTHING IN THESE TERMS LIMITS, EXCLUDES, OR MODIFIES OR PURPORTS TO LIMIT, EXCLUDE, OR MODIFY ANY STATUTORY CONSUMER GUARANTEE OR ANY IMPLIED CONDITION OR WARRANTY, THE EXCLUSION OF WHICH FROM THESE TERMS WOULD CONTRAVENE ANY STATUTE OR CAUSE ANY PART OF THESE TERMS TO BE VOID (“NON-EXCLUDABLE GUARANTEES”). SUBJECT TO THE LIMITATIONS IN THE PRECEDING SENTENCE AND TO THE MAXIMUM EXTENT PERMITTED BY ANY MANDATORY PROVISIONS OF APPLICABLE LAW, THE RELEASED PARTIES EXCLUDE FROM THESE TERMS ALL CONDITIONS, WARRANTIES, AND TERMS IMPLIED BY STATUTE, GENERAL LAW, OR CUSTOM, EXCEPT FOR LIABILITY IN RELATION TO A NON-EXCLUDABLE GUARANTEE. SUBJECT TO ANY NON-EXCLUDABLE GUARANTEES, EACH APPLICANT (AND THEIR PARENT IF THEY ARE A MINOR) AGREES TO RELEASE, HOLD HARMLESS, AND INDEMNIFY (I.E., DEFEND AND/OR REIMBURSE) THE RELEASED PARTIES FROM ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE, OR PARTICIPATION IN THE PROGRAM OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY PROGRAM-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY (HOWEVER (BUT ONLY IF REQUIRED BY LAW IN YOUR JURISDICTION), THIS RELEASE, HOLD HARMLESS, AND INDEMNIFICATION COMMITMENT DOES NOT APPLY TO CASES OF BODILY INJURY OR LOSS OF LIFE OR TO THE EXTENT THAT ANY DEATH OR PERSONAL INJURY IS CAUSED BY THE NEGLIGENCE OF PROGRAM ENTITIES OR OTHER THIRD PARTY, WHERE LIABILITY TO THE INJURED PARTY CANNOT BE EXCLUDED BY LAW). EACH PARTICIPANT AGREES THAT THE BENEFITS ARE PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE (EXPRESS OR IMPLIED, IN FACT OR IN LAW), WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE BENEFITS, AND AGREES THAT THE RELEASED PARTIES ARE NOT RESPONSIBLE IN ANY WAY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY, BEYOND ANY NON-EXCLUDABLE GUARANTEES.

Additional disclaimers. The Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the Applicant or by human error (except to the extent that any of the following occur for reasons within Program Entities’ reasonable control, if applicable law in your jurisdiction of residence dictates that liability to the injured party in such a case cannot be excluded by law): Applications made by illegitimate means (such as, without limitation, by an automated computer program); any lost, late, postage-due, incomplete, illegible, incomprehensible, mutilated, or misdirected email, mail, direct message, or Innovation Challenge-related correspondence or materials; any error, omission, interruption, defect, or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable telephonic, cellular, cable, or satellite systems; errors, typos or misprints in these Terms, in any Innovation Challenge-related advertisements, or other materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections or any failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications; technical or human error which may occur in the administration of the Innovation Challenge or the processing of Applications; or any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Applicant’s participation in the Innovation Challenge or receipt or use of any Program Benefits. Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or for insufficient space in a person’s email account, voicemail inbox or platform message account, to receive, email, voice messages or platform messages. Released Parties are not responsible, and may disqualify an Applicant, if any contact information provided by the Applicant does not work or is changed without giving prior written notice to Program Entities. Without limiting any other provision in these Terms, the Released Parties are not responsible or liable to any Applicant or Participant (or any person claiming through such Applicant or Participant) for failure to supply a benefit or any part thereof in the event that any of the Innovation Challenge activities or Released Parties’ operations or activities are affected by any cause or event beyond the sole and reasonable control of the applicable Released Party (as determined by Program Entities in their sole discretion), including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, epidemic, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, any law, rule, regulation, action, order, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above.

Prizes may not be transferred (a) to any individual, entity, or country prohibited by any applicable U.S. or non-U.S. export controls and trade sanctions; (b) to anyone on U.S. or non-U.S. government restricted parties lists; or (c) for any purpose prohibited by applicable export controls and trade sanctions, including nuclear, chemical or biological weapons, or missile technology applications without the required government authorizations. You acknowledge that Sponsor is subject to U.S. economic restrictions and trade sanctions. As such, Sponsor reserves the right to deny distribution of any prize when required by applicable law.

Additional rules. The Participants agree to comply with all applicable laws and regulations during throughout the Innovation Challenge and Training Program. Failure to comply with these Terms may result in disqualification from the Training Program. Participants further agree to not damage or cause interruption of the Training Program and/or prevent others from participating in the Training Program. Program Entities reserve the right to restrict or void participation from any IP address, email address or domain, social media account, or device if any suspicious Application and/or participation is detected. Program Entities reserve the right, in their sole discretion, to void Applications or other participation by any person or entity who Program Entities believe has attempted to tamper with or impair the administration, security, fairness or proper play of this Program. In the event there is an alleged or actual ambiguity, discrepancy or inconsistency between disclosures or other statements contained in any Innovation Challenge-related materials and these Terms (including any alleged discrepancy or inconsistency within these Terms), it will be resolved by Program Entities in their sole discretion. Participants waive any right to claim ambiguity in the Training Program or these Terms. If Program Entities determine (at any time and in their sole discretion) that any Participant or potential Participant is disqualified, ineligible, in violation of these Terms, or engaging in behavior that Program Entities deem obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, or harass any other person or entity, Program Entities reserve the right to disqualify such Participant or Applicant, even if the disqualified Participant or Applicant may have been notified or displayed or announced anywhere. Program Entities’ failure to or decision not to enforce any provision in these Terms will not constitute a waiver of that or any other provision. The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If the Training Program and/or Competition is not capable of running as planned for any reason, Program Entities reserve the right, in their sole discretion, to cancel, modify or suspend the Training Program and/or Competition and give the benefits based on eligible Applications received prior to cancellation, modification, or suspension, if any, or as otherwise deemed fair and appropriate by Program Entities. If any Applicant (if applicable and allowed) supplies false information, participates or submits Applications by fraudulent means, or is otherwise determined to be in violation of these Terms in an attempt to participate in the Program, Program Entities may disqualify the related Applicant, seek damages from them, and any related person or entity may be prosecuted to the full extent of the law. If any dispute regarding an Application cannot be resolved to Program Entities’ satisfaction, such Application will be deemed ineligible. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE INNOVATION CHALLENGE VIOLATES CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, PROGRAM ENTITIES MAY DISQUALIFY ANY APPLICANT MAKING SUCH ATTEMPT AND RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
Disputes/governing law. Except where prohibited by law, any and all disputes, claims, and causes of action between an Applicant and any Released Party arising out of or connected with the Innovation Challenge in general or this Training Program in particular or the determination of any Participant must be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an Applicant be permitted or entitled to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than the Applicant’s actual out-of-pocket expenses (if any), not to exceed ten dollars ($10 USD), and each Applicant further waives all rights to have damages multiplied or increased.
This Innovation Challenge and any dispute arising under or related thereto (whether for breach of contract, tortious conduct, or otherwise) will be governed by the internal laws of the State of California, USA, and if that is not possible the Republic of Vietnam without giving effect to its conflicts of law or choice of law principles or rules that would cause the application of the laws of any jurisdiction. Any legal actions, suits or proceedings related to this Innovation Challenge (whether for breach of contract, tortious conduct, or otherwise) will be brought exclusively in a court of competent jurisdiction located in or with jurisdiction over San Mateo County, California, USA, and if that is not possible in a court of competent jurisdiction in the closest city to Applicant’s place of residence in the Republic of Vietnam and each Applicant (and their parent or legal guardian if they are a minor) accepts and submits to the personal jurisdiction of those courts with respect to any legal actions, suits or proceedings arising out of or related to this Innovation Challenge.
CoderSchool may use certain third-party service providers (“Third-Party Providers”) to support portions of the Training Program. By applying for the Training Program, you agree that you are responsible for reviewing the applicable terms and privacy policies of those Third-Party Providers and that CoderSchool is not responsible for your interactions with those Third-Party Providers.

If any portion of this these Terms and Conditions is determined by any court or governmental agency of competent jurisdiction to violate applicable law or otherwise not to conform to requirements of law, then the rest of these Terms and Conditions will remain in effect and the parties will substitute a suitable and equitable provision for the invalid/unenforceable provision in order to carry out the original intent and purpose of the original Terms and Conditions. You may not assign, delegate or transfer your registration for the Competition and/or any of your rights or obligations under these Terms and Conditions. Any attempted assignment, delegation or transfer shall be void.

These Terms and Conditions (which, for clarification, includes the Privacy Policy and all other terms incorporated by reference into these Terms and Conditions), together with any Competition registration, represent your entire agreement with CoderSchool with respect to the Program. These terms cannot be modified or changed except with the written agreement of CoderSchool.
